The Irish Baroque Orchestra seeks to appoint a Company Secretary for an initial period of three years, subject to review and renewal.
The position of Company Secretary is an ex officio position on the Irish Baroque Orchestra’s Board of Directors, which sets the strategic direction of the organisation while ensuring adherence to the highest principles of sound governance and financial management.
The Secretary to the Board is responsible for managing circulation of documents for quarterly meetings, and taking accurate minutes to reflect the Company business.

The Olivier Award-winning Irish Baroque Orchestra is celebrated as Ireland's flagship period instrument orchestra and delivers world-class historically-informed performances across Ireland and abroad. ROLE DESCRIPTION
The Company Secretary will:

Circulate documents for General, Restricted and Directors-Only meetings of the Board

Create diary invites and Zoom links for Board members

Take minutes for all sections of Board meetings and circulate promptly to Chair and CEO for review.

Collate paper copies of all minutes annually following the AGM

Undertake any additional tasks arising, as appropriate.
PERSON SPECIFICATION
Essential Qualifications & Experience
-
Relevant professional experience (e.g., Chartered Secretary, Legal, Governance, or equivalent experience)

Demonstrable experience in a similar role, ideally within the not-for-profit, charity, or arts sector

Knowledge of Irish company law, charity regulation, and governance best practices

Proven track record of supporting boards and committees, including minute-taking and compliance

Strong written and verbal communication abilities, including attention to structure

Discretion and integrity when handling confidential matters

Ability to manage priorities and deadlines

Proficiency in Microsoft Office (Word, Excel, Outlook)

Terms of Appointment

Three-year agreement, subject to review and renewal.

The role is not formally remunerated, but a quarterly honorarium is offered in recognition of the time commitment involved.
